General Terms and Conditions of UNEW Beauty Couture AG for BIO Sculpture Österreich, websites, training courses, services, products, professional systems, B2B and B2C offers.
1. Scope
These General Terms and Conditions (Terms) apply to all offers, services, training courses, education programmes, trainings, courses, online formats, product offers and supplementary services of UNEW Beauty Couture AG in connection with BIO Sculpture Österreich.
These Terms apply to offers via websites of UNEW Beauty Couture AG as well as to individually agreed services, unless deviating written agreements have been made.
Supplementary or deviating conditions may apply to individual online shops, platforms or brand offers. Such specific conditions take precedence over these Terms to the extent that they have been expressly agreed or communicated in the specific offer.
For consumers, these Terms apply only insofar as no mandatory statutory provisions conflict with them.
2. Contracting Parties and Customer Groups
The contracting party is UNEW Beauty Couture AG, Sinserstrasse 8, 6330 Cham, Switzerland.
The offers are addressed to both business customers (B2B) and private customers (B2C).
Business customers are natural or legal persons who enter into the contract in the exercise of their commercial, professional or self-employed activity, in particular studios, beauty professionals, retailers, entrepreneurs and professional users.
Private customers are persons acting for purposes that are predominantly outside their commercial or self-employed professional activity.
Provisions expressly relating to professional use, resale, B2B trade, commercial use or trained users apply exclusively to business customers.
3. Subject Matter of the Contract
UNEW provides services, in particular training courses, education programmes, trainings, consultations and supplementary services. In addition, products, starter kits, devices, technical products and professional systems may be offered or arranged.
Different provisions apply depending on the subject matter of the contract, in particular regarding booking, payment, cancellation, return, warranty, application, liability and use of content.
The specific offer, booking confirmation, invoice, order confirmation or service description communicated in the respective context is authoritative.
4. Conclusion of Contract
A contract is concluded when UNEW confirms a booking, order, enquiry or assignment.
UNEW is entitled to reject bookings or orders or to make them dependent on additional information, evidence, qualifications or requirements.
This applies in particular to training courses, professional products, electronic devices, protected brand systems, starter kits or services intended only for certain customer groups or trained users.
The presentation of offers on websites, in price lists or communication materials does not constitute a legally binding offer, but an invitation to enquire, book or order, unless expressly stated otherwise.
5. Prices and Value Added Tax
All prices are stated in Swiss francs (CHF), unless another currency is expressly indicated.
For business customers (B2B), prices are exclusive of statutory VAT unless expressly stated otherwise.
For private customers (B2C), in particular in the context of consumer offers or end-customer platforms, prices include statutory VAT where applicable.
The price stated or confirmed at the time of contract conclusion is authoritative.
Price changes, errors, typographical mistakes, technical errors and changes to offers are reserved.
6. Payment
Payment is made according to the payment methods offered in the context of the order, booking, invoice or order confirmation.
Unless otherwise agreed, invoices are payable within 10 days from the invoice date without deduction.
UNEW may reserve, withhold, postpone or release services, training places, deliveries or appointments until full payment has been received.
In the event of late payment, UNEW is entitled to charge default interest of up to 5% per year, reminder fees and further costs of legal enforcement, debt collection or enforcement.
The customer bears all costs arising in connection with late payment, chargebacks, debt collection or legal enforcement.
7. Credit and Payment Checks
UNEW may conduct credit or payment checks for orders, bookings, deliveries on invoice or other services involving advance performance, insofar as this is required for contract processing, risk assessment or the protection of legitimate interests.
For this purpose, payment- and contract-related information may be processed and, where necessary, transmitted to payment service providers, debt collection service providers, credit information agencies or other third parties involved in processing.
UNEW is entitled to refuse certain payment methods, require advance payment, withhold deliveries or provide services only after receipt of payment.
The processing of personal data in connection with payment and credit checks is governed by the applicable Privacy Policy.
8. Retention of Title
Delivered products, devices, starter kits and other goods remain the property of UNEW Beauty Couture AG until full payment has been made.
UNEW is entitled to make a corresponding entry in the retention of title register where legally provided or appropriate.
9. Delivery, Collection and Transfer of Risk
Delivery dates and delivery periods are non-binding unless expressly confirmed in writing as binding.
Deliveries are made to the address provided by the customer. The customer is responsible for providing complete and correct delivery information.
Upon handover of the goods to the carrier, benefit and risk pass to the customer to the extent permitted by law.
In the case of collection, benefit and risk pass to the customer upon handover at the location of UNEW or at the agreed collection point.
Delivery delays due to availability, manufacturer information, transport issues, official requirements or force majeure do not automatically give rise to claims for damages.
10. Duty to Inspect and Notice of Defects
The customer is obliged to inspect delivered products, devices, starter kits and other goods immediately upon receipt.
Obvious defects, incorrect deliveries or transport damage must be reported to UNEW in writing within 5 calendar days after receipt.
If defects are not reported in due time, the products are deemed approved to the extent permitted by law.
Hidden defects must be reported in writing immediately after discovery.
11. Training Courses, Education Programmes and Certificates
Training courses and education programmes provide knowledge and skills for the professional application of BIO SCULPTURE systems and related professional nail, beauty and cosmetic systems.
Depending on the training course, prior knowledge, qualifications, a minimum age, existing professional activity, certain product requirements or further requirements may be necessary.
UNEW may request corresponding evidence and refuse participation if requirements are not met.
A certificate is issued only upon full participation and successful fulfilment of the training-specific requirements.
Training dates, course places and booked education services are binding.
UNEW does not guarantee that participants will achieve a specific economic result, treatment quality, number of customers, authorisation, professional recognition or self-employed activity after a training course.
12. Cancellation, Rebooking and No-Show for Training Courses
The following cancellation conditions apply to training courses, education programmes, courses, trainings, master classes and comparable formats, unless otherwise regulated in the specific offer:
- 100% refund for cancellation up to 30 calendar days before the date.
- 50% refund for cancellation up to 15 calendar days before the date.
- No refund for cancellation less than 15 calendar days before the date.
In the event of a no-show without timely cancellation, the booked amount will be charged in full.
A substitute participant may be provided if the required prerequisites are met and UNEW has given prior written consent.
UNEW may postpone dates for important reasons, in particular illness, insufficient number of participants, delivery problems, absence of trainers, official requirements or force majeure. Amounts already paid will in this case be credited to a replacement date or refunded if no replacement date can be arranged.
13. Online Training and Digital Content
Online training, digital learning content, documents, videos, presentations, scripts and other digital content may be used only by the registered or authorised person.
Access data may not be passed on.
Digital content, videos, presentations, training materials, concepts, texts, images and methods may not be reproduced, published, passed on, sold, used for own training activities or made accessible to third parties without UNEW's written consent.
After digital content has been provided or access has been activated, refunds are excluded to the extent permitted by law.
14. Products, Starter Kits and Professional Systems
Products, starter kits, devices or professional systems may be offered within the scope of training courses, websites, consultations or supplementary offers.
The sale or use of certain products may be limited to business customers, trained users, qualified professionals or specific customer groups.
Product images, descriptions and information are for guidance only. The respective manufacturer information, application instructions, safety information, ingredients and warnings are binding.
The customer is obliged to store and use products properly and only for their intended purpose.
15. Importer, Distributor and Cosmetic Regulatory Responsibility
UNEW Beauty Couture AG is the distributor and importer of BIO SCULPTURE products for Switzerland.
For Switzerland and Austria: Importer: UNEW Beauty Couture AG.
For the EU Responsible Person: MedNet EC-REP GmbH, Borkstrasse 10, 48163 Münster, Germany.
The cosmetic products are notified under the EU Cosmetics Regulation via the Cosmetic Products Notification Portal (CPNP).
Professional users are obliged to comply with all manufacturer instructions, safety information, labelling obligations, product information and application instructions.
16. Returns, Exchanges and Hygiene Products
Returns are accepted only after prior written consent from UNEW.
The customer bears the costs and risk of return shipping unless expressly agreed otherwise or mandatory statutory provisions provide otherwise.
Opened, used, unsealed, damaged, incomplete products or products that cannot be resold for hygiene reasons are generally excluded from return, exchange and refund to the extent permitted by law.
UNEW reserves the right to reject returns or charge an appropriate processing fee.
A general right of return or withdrawal exists only where it is mandatorily provided by law or expressly granted in the specific offer.
17. Warranty and Guarantee
17.1 Training and Education Services
No warranty is given for specific results from training courses, education programmes or the application of the content taught.
Application results depend in particular on individual factors such as professional knowledge, experience, initial situation, correct application, product storage, customer characteristics and professional execution.
17.2 Cosmetic Products for Business Customers (B2B)
For business customers, warranty is excluded to the extent permitted by law.
In particular, there are no claims for return, exchange, reduction or damages, except in the case of demonstrably significant defects that have been reported correctly and in due time.
In such cases, UNEW may, at its discretion, provide replacement, offer rectification or issue a credit note.
17.3 Cosmetic Products for Private Customers (B2C)
For private customers, the statutory warranty provisions apply where applicable.
Opened, used or unsealed products are excluded from return and exchange to the extent permitted by law.
Any warranty for individual compatibility, effect, durability, treatment results or subjective expectations is excluded to the extent permitted by law.
17.4 Electronic Devices and Technical Products
Electronic devices and technical products are subject to a warranty period of 12 months from delivery unless expressly agreed otherwise.
The warranty covers only defects attributable to material or manufacturing defects.
Excluded from warranty are, in particular, wear parts, improper use, lack of maintenance, external influences, use contrary to manufacturer instructions and interventions by unauthorised persons.
UNEW is entitled, at its discretion, to provide repair, replacement or an appropriate credit note.
17.5 Manufacturer Guarantees
Where a manufacturer guarantee exists for products or devices, it is processed according to the conditions of the respective manufacturer.
UNEW does not provide an independent guarantee in the legal sense unless expressly confirmed in writing.
18. Professional Responsibility, Application and Legal Requirements
Responsibility for the professional application of products, devices, techniques and training content lies with the respective user.
Business customers and professional users are themselves responsible for complying with statutory, cosmetic regulatory, hygienic, labour law, safety-related and professional requirements.
Training content does not replace an independent review of legal requirements, product information, manufacturer instructions, safety data, labelling obligations or application restrictions.
19. Resale and Own Training Activities
The resale of professional products or the use of products, brand systems, concepts or training content for own training activities is permitted only with the express written consent of UNEW or the respective brand owner.
The disclosure of training materials, concepts, presentations, education content, methods, access data or digital content to third parties is prohibited without prior written consent.
Trademark rights, copyrights, product concepts, training concepts and other intellectual property rights remain reserved.
20. Copyright and Rights of Use
All content of UNEW, in particular texts, images, videos, presentations, training materials, concepts, brand appearances, digital content and website content, is protected by copyright or other rights.
Use, reproduction, publication, editing, disclosure or commercial exploitation is permitted only with prior written consent from UNEW.
Participation in a training course or purchase of a product does not transfer any rights to brands, training concepts, materials or other intellectual property rights.
21. Reviews, Comments and Testimonials
UNEW may allow customers to submit reviews, comments, testimonials, photographs or other content regarding products, training courses or services.
The customer confirms that submitted content is truthful, does not infringe third-party rights, does not contain unlawful, defamatory, discriminatory or misleading content and does not disclose confidential information of third parties.
UNEW is entitled to review, shorten, not publish or remove reviews, comments or other content where objective reasons exist.
By submitting reviews, comments, testimonials, images or other content, the customer grants UNEW a non-exclusive, geographically and temporally unlimited right to use such content in connection with UNEW's offers, websites, social media channels and marketing measures, to the extent legally permissible and provided no legitimate interests conflict.
22. Liability
UNEW is liable exclusively for intent and gross negligence, to the extent permitted by law.
Liability for indirect damage, consequential damage, loss of profit, production downtime, reputational damage, treatment results, application errors, economic losses or damage arising from improper application is excluded to the extent permitted by law.
Mandatory statutory liability provisions remain reserved.
The customer is liable for damage caused by incorrect information, improper use, breach of cooperation obligations, disclosure of access data or use not in accordance with the intended purpose.
23. Force Majeure
UNEW is not liable for delays, failures or disruptions in performance due to events outside UNEW's sphere of influence.
These include, in particular, force majeure, illness, accident, absence of trainers, official orders, supply failures, transport problems, technical disruptions, power outages, pandemics, natural events or other unforeseeable events.
Agreed services may in such cases be postponed, adjusted or reversed if no replacement service is possible.
24. Data Protection
UNEW processes personal data in accordance with applicable data protection regulations.
The current Privacy Policy of UNEW Beauty Couture AG applies.
By using offers, services, websites, bookings or orders, the customer acknowledges that personal data may be processed for contract processing, communication, service provision, invoicing, administration and legal documentation.
25. Changes to the Terms
UNEW may amend these Terms at any time.
The version valid at the time of contract conclusion is authoritative unless compelling reasons require a different application.
For existing contractual relationships, changes apply only where they have been agreed or are legally permissible.
26. Choice of Law, International Customers and Place of Jurisdiction
Substantive Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), where applicable.
Where offers, deliveries or services are provided to customers with registered office or habitual residence in the European Union or other countries, mandatory statutory consumer protection or data protection provisions of the respectively applicable law remain reserved.
These mandatory provisions apply only to the extent that they cannot be contractually excluded by law. In all other respects, Swiss law remains applicable.
For disputes with business customers, Zug, Switzerland, is the exclusive place of jurisdiction.
For private customers, the mandatory statutory places of jurisdiction apply.
27. Final Provisions
If individual provisions of these Terms are or become invalid, incomplete or unenforceable, the validity of the remaining provisions remains unaffected.
In place of the invalid or unenforceable provision, a provision shall be deemed agreed that comes as close as legally permissible to the economic purpose of the original provision.
Amendments, supplements and ancillary agreements require written form unless another form is legally permissible.
